Terms of Service

These terms govern your use of Koggio, the multi-carrier shipping platform operated by SIA Mandet. They are written for the businesses that ship with us - plainly, and without hiding anything important in the fine print.

01 Parties & acceptance

These Terms of Service ("Terms") form a binding agreement between SIA Mandet (registration number 40203337975, VAT number LV40203337975, Murjāņu iela 38 - 3, Rīga, LV-1064, Latvia), trading as Koggio ("Koggio", "we", "us", "our"), and the business that subscribes to or uses the Koggio platform ("Customer", "you", "your").

You accept these Terms when you check the acceptance box at sign-up, install Koggio from the Shopify App Store, connect a Shopify store, or otherwise use any part of the platform - whichever happens first. If you accept on behalf of a company, you confirm that you are authorised to bind that company.

Some engagements are also governed by a separate order form, statement of work, or Data Processing Agreement. Where one exists, it forms part of this agreement. If a term there conflicts with these Terms, the order form prevails for that subject. See General for the full order of precedence.

02 The service

Koggio is a multi-carrier shipping operations platform for Shopify merchants. It connects your store to carrier APIs through a single interface so you can create labels, book pickups and lockers, and sync tracking - on your own carrier contracts, without a per-label platform fee.

The platform includes:

  • Label generation across connected carriers - live today: DHL Express, DPD, SmartPosti, and FedEx; more rolling out (Omniva, Venipak, Unisend / LP Express, Latvijas Pasts, Lietuvos Paštas, Nova Post) and on the roadmap.
  • Order merging - combining repeat orders going to the same recipient and address into one parcel within your dispatch window, then writing the same tracking back to every underlying order.
  • Pickup scheduling and pickup-point / parcel-locker selection.
  • Tracking sync back to Shopify and a branded tracking page for your recipients.
  • Dispatch dashboards, shipment analytics, team accounts, and outbound webhooks for shipment lifecycle events.

We improve the platform continuously and may add, change, or remove features. For changes that materially reduce core functionality you rely on, we will give reasonable advance notice.

03 Eligibility & your account

Business use only

Koggio is a tool for businesses. By signing up you confirm you are acting in a commercial capacity and not as a consumer. Consumer-protection rules that assume a business-to-consumer sale are not intended to apply.

Registration & security

You must provide accurate, current, and complete information, and keep it up to date. You are responsible for activity under your account and for keeping credentials secure. We support email-and-password sign-in (with email verification) and optional single sign-on via Google or Microsoft. Tell us immediately at raitis@koggio.com if you suspect any unauthorised access.

Teams & roles

You can invite teammates and assign roles (owner, admin, member). The account owner is responsible for managing access and for the actions of everyone they invite.

Shopify connection

Connecting your store authorises Koggio to read order, fulfilment, and shipping data and to write tracking and fulfilment updates back, within the Shopify API scopes you approve at install. You may revoke this at any time by uninstalling Koggio from your Shopify admin.

Carrier credentials

You provide and are responsible for valid credentials for each carrier account you connect. You confirm you are entitled to use those carrier contracts and that using them through Koggio does not breach your agreement with the carrier. Credentials are stored encrypted (see Security in our Privacy Policy).

04 Acceptable use

You agree not to:

  • Ship goods that are illegal, hazardous, or prohibited by an applicable carrier, customs authority, or law;
  • Misrepresent shipment contents, dimensions, weight, value, or sender identity in carrier requests;
  • Probe, scrape, overload, or circumvent rate limits, or reverse-engineer any part of the platform;
  • Use the platform in a way that degrades service for other customers, or attempt to access another tenant's data;
  • Resell, sublicense, or provide the platform to a third party without a written agreement with us;
  • Upload or transmit malware, harmful code, or unlawful content.

Where necessary to protect the platform, other customers, or third parties, we may suspend access to an account that breaches these rules, with notice where practicable and immediately where the risk is serious.

05 Carrier integrations

How carrier charges work. Koggio creates labels and books services on your behalf using your carrier contracts. The carrier invoices you directly for postage. Koggio is not a party to your carrier agreements and is not responsible for carrier charges, fuel or accessorial surcharges, dimensional-weight adjustments, customs duties, delays, or delivery failures.

No per-label platform fee. Koggio never adds a per-label fee on shipments sent through your own carrier contracts. This is a core part of our pricing model.

Carrier APIs are outside our control. If one is unavailable we will surface the error and, where possible, offer an alternative, but we do not guarantee any specific integration will remain available indefinitely.

Carriers shown as "rolling out" or "roadmap" on our website may become available in stages. Listing a carrier anywhere on Koggio is a statement of direction, not a contractual commitment to make it available by any particular date.

06 Plans, billing & payment

Plans & order volume

Koggio is sold as a flat monthly subscription. Plans differ by the number of orders you ship per month, not by feature gating - every plan includes the whole platform. Your plan and price are shown at checkout or set in your order form.

Plan flex (capped overage)

A busy month should not force a permanent upgrade. If you exceed your plan's monthly order allowance, additional orders are charged at a small flat per-order rate, capped at the price of the next plan up - once the overage would reach the next plan's price, you simply move onto that plan and its allowance. Exact rates are shown in-app and in your order form. This platform-usage charge is separate from, and does not change, our "no per-label fee" commitment on carrier postage.

How you're billed

Direct sign-ups are billed by card through Stripe. Merchants who install Koggio via the Shopify App Store are billed through Shopify's billing system, as Shopify's policies require; in that case Shopify's billing terms also apply. We do not store your full card number - card data is handled by our payment processor.

Invoicing & payment terms

Subscriptions are charged in advance for each billing period. Where we issue an invoice directly, it is payable within 14 days. Overdue amounts may accrue statutory interest under Latvian law, and we may suspend access after 30 days of non-payment following written notice.

Taxes

Fees are exclusive of VAT. Where VAT applies it is added at the applicable rate. You are responsible for any other taxes due in your jurisdiction.

Price changes

We may change subscription prices on renewal with at least 30 days' notice before the change takes effect. If you don't agree, you may cancel before the new price applies.

Early access & pilots

During early-access or pilot periods, pricing may be agreed informally and may be reduced or free. Any such arrangement is provisional and is superseded by a written order form once issued; it does not imply any particular price for a later subscription.

07 Data protection

For personal data about your customers that flows through Koggio - recipient names, addresses, and contact details - you are the controller and we are your processor. We process that data only to provide the service and on your instructions.

A Data Processing Agreement (DPA) governs this processing and is incorporated into these Terms; a copy is available at raitis@koggio.com. In summary, we:

  • process your customers' data only on your documented instructions;
  • apply appropriate technical and organisational security measures;
  • engage sub-processors (hosting, payments, carriers) under equivalent obligations, and keep a current list;
  • assist you with data-subject requests, including the Shopify mandatory privacy webhooks (customer data requests, customer redaction, and shop redaction on uninstall);
  • delete or return your customers' data after termination, except where the law requires retention.

08 Intellectual property

Koggio's IP

All software, designs, trademarks, and documentation that make up the platform are owned by or licensed to SIA Mandet. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the platform for your own internal business purposes during your subscription.

Your data

You keep all rights to your store, order, and customer data. You grant us a limited licence to host and process that data solely to provide and support the service.

Feedback

If you send us suggestions, bug reports, or feature requests, you grant us a perpetual, royalty-free right to use them without restriction or obligation to act on them.

09 Availability & support

We aim for high availability but do not guarantee uninterrupted access. We schedule maintenance to minimise disruption and give advance notice where practicable; unplanned issues are communicated through our status updates.

Support is available by email at raitis@koggio.com. Design partners and customers on specific plans may have additional support terms set in their order form.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. This does not affect any warranty that cannot be excluded under Latvian or EU law.

10 Confidentiality

Each party will keep confidential any non-public information received from the other that is marked confidential or that a reasonable person would treat as confidential given the context ("Confidential Information"), and use it only to perform under these Terms.

This does not apply to information that: (a) is or becomes public without breach; (b) was already known to the recipient; (c) is received from a third party without restriction; or (d) is independently developed. Each party may share Confidential Information with staff or contractors who need it and are bound by equivalent obligations, and as required by law.

11 Limitation of liability

Exclusions. To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or revenue, loss of data, or business interruption, even if advised of the possibility.

Cap. Our total liability arising out of or relating to these Terms - in contract, tort, or otherwise - will not exceed the fees you paid to Koggio in the three months before the event giving rise to the claim.

Carrier liability. We are not liable for carrier errors, delays, lost or damaged parcels, mis-delivery, or carrier API failures. Claims about shipment execution must be taken up with the relevant carrier under your contract with them.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited under applicable law.

12 Term & termination

By you

You may cancel at any time from in-app billing or by 30 days' written notice to raitis@koggio.com. Uninstalling Koggio from Shopify also ends the connection. Fees already paid for the current period are non-refundable unless we agree otherwise.

By us

We may suspend or terminate immediately for material breach (including non-payment after notice) or where required by law. We may also terminate for convenience on 30 days' written notice, in which case we refund any pre-paid fees for the unused part of that period.

Effect of termination

On termination your access ends. For 30 days afterwards you may request an export of your shipment data. After that window we delete or anonymise data in line with our Privacy Policy, except where the law requires us to keep it. Clauses intended to survive termination - including intellectual property, confidentiality, liability, and governing law - continue to apply.

13 General

Order of precedence

If there is a conflict, documents apply in this order: (1) a signed order form or Data Processing Agreement; (2) these Terms; (3) any policy referenced in them (such as the Privacy Policy), to the extent of the conflict.

Entire agreement

Together with any order form and the documents referenced here, these Terms are the entire agreement between us about the platform and replace any prior understanding on the subject.

Assignment

You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets, on notice to you.

Subcontracting

We may use sub-processors and subcontractors to provide the service and remain responsible for their performance, as described in our Privacy Policy.

Force majeure

Neither party is liable for failure or delay caused by events beyond its reasonable control, including carrier or infrastructure outages, network failures, or acts of government.

Severability & waiver

If any provision is found unenforceable, the rest stays in force and the provision is adjusted to the minimum extent needed. Not enforcing a right is not a waiver of it.

Notices

We give notice by email to your account address or by posting in the app. You give us notice at raitis@koggio.com. There are no third-party beneficiaries.

14 Governing law & disputes

These Terms are governed by the laws of Latvia, without regard to conflict-of-law rules.

Any dispute we cannot resolve amicably within 30 days of written notice will be submitted to the exclusive jurisdiction of the courts of Rīga, Latvia. This does not affect any mandatory rights you may have under the law of your place of establishment.

15 Changes to these Terms

We may update these Terms from time to time. We will communicate material changes by email at least 14 days before they take effect, and update the "Last updated" date above. If you don't agree to a change, you may cancel before it takes effect; continued use after that date means you accept the revised Terms.
